As far as I am aware, both sets are exactly the same - apart from the box, binder and packet colour (White for England, Blue for Eurostars) and wording ("England" vs "Eurostars"). All cards have blue backs.
There is also the Ireland version - an identical set of cards (except the Limited Editions) except they have green backs instead of the blue ones.
As matchattaxfan4 stated - the reason is almost certainly purely commercial - "Eurostars" is more acceptable in Scotland, Wales and Northern Ireland whose teams didn't make it through to the tournament.
It also means that some collectors will want to have both binders - which they then want to fill - hence more sales... :)

The 2010 World Cup series (World Stars and England 2010) were different - there were lots of differences in the sets and the cards. The England 2010 set had 297 cards (248 base and Star Players, 28 MOTM, 4 100 Club and 16 Managers), the UK World Stars set had 281 cards (233 base and SP, 28 MOTM, 4 100 Club and 16 Managers)
Other than this the cards were identical (as far as I am aware!) with the Defence and Attack legend, and country names all shown in English.
Then there were the international versions of the World Stars sets (Asian/African English, French, Spanish, Portuguese, Italian and German) all of which had 173 cards (121 Base, 20 SP, 28 MOTM and 4 100 Club) - cards were similar, but the Attack and Defence were in 6 languages and country names were the local name (e.g. Algerie, Brasil, Danmark, Espana...), and the inserts were in the six different languages (e.g. "Joueur Vedette", "L'homme du Match" and "Club des 100" for the French version) - and each had their own Limited Edition too!
Then there was the Argentinian set - same as the International World Stars, but Attack and Defence were only in Spanish, as were the country names (and apparently there was no Santa Cruz Star Player)
Finally, there was the Mexican set - which was a combined set with Mexican League players and the World Stars - again, only in Spanish, and each card had a number on it.
We're still after some of the international versions - and have lots to trade too - if anyone is interested.
