BYLAWS OF THE ROCHESTER COLONIALS RUGBY FOOTBALL CLUB, LTD. I. Organization and Duties A. Annual General Meeting: 1. The annual general meeting shall be held between the months of November and January of each year. A minimum of one (1) week’s notice will be given by the Executive Committee prior to the commencement of said meeting. 2. Quorum: Three (3) members of the Executive Committee and at least 50% of the previous year’s dues paying member shall constitute a quorum for the transaction of business. B. Executive Committee: 1. The Executive Committee is composed of the President, Treasurer, Recording Secretary and Match Secretary. The officers are elected by majority vote of the membership present at the Annual General Meeting held each winter. a. Officer elections shall be held one at a time in order of President, Treasurer, Match Secretary and Recording Secretary. b. If a first round vote does not produce a winner by absolute majority, a second round shall be held between the two (2) most voted candidates. c. In the event of a tie, the sitting President, or highest ranking officer present, shall be the deciding vote. 2. As a body, the Executive committee is responsible, for: Setting dues and game fees; Approving club equipment purchases; Establishing a recruiting effort; Planning, convening, and notifying membership of the Annual General Meeting; Appointing Coach(es); Appointing other voluntary positions. 3. President’s Duties: Club Representative to the Union; General Administration; secure party facilities; Manage club equipment; Publish membership list; Oversee website; Corporate Director. 4. Treasurer’s Duties: Maintain balance books and roster; Collect dues’ and game fees; Purchase club and player equipment; Corporate Director. 5. Recording Secretary’s Duties: Record official meeting notes; Transmit official correspondence; Prepare and send a biannual newsletter to current team members and ‘Old Boys’ who are current with their dues; Keep an up-to-date contact list; Corporate Director. 6. Match Secretary’s Duties: Set up game schedule; Maintain communications with local Parks. Towns, Schools, and County officials in order to Secure a pitch and practice; Notify referees and opponents; Provide directions to Away games; Corporate Director. C. Coaches and Captains 1. Coach(es) shall serve at the pleasure of the Executive Committee and shall, regardless, of number, act as a Selector with a single vote. Coach(es) shall be considered a part of the general membership; Are exempt from paying dues; Are permitted to vote at the Annual General Meeting. 2. Captains shall be elected each season by majority election; elections shall take place at the AGM, following the conclusion of the Fall season and the term shall be for one (1) year. In the event a captain is no longer able to perform his duty or in the opinion of the executive board no longer commits himself the majority of events, then a special election will be called for the sole purpose of filling this position for the remainder of the term. a. Captain elections will be called by the Executive Committee and a minimum of one (1) week’s notice will be given prior to holding these elections. b. Each dues paying member is allowed to vote twice for the nominated candidates for captain. c. The candidate that received the most votes will be Captain. The candidate that received the 2nd most votes will be Vice-Captain. d. In the event that two candidates did not receive a one majority election then any candidate that received a majority will be elected captain and voting will take with the remaining candidates with each member getting one vote. In the event that this does not lead to a majority election then the top two candidates will be considered. In the event of a tie the previous seasons Captain will have the deciding vote. 3. Captain’s Duties: Selector; Field Captain. The Captain is also responsible for arranging a mandatory practice scheduled before the start of each season, spring and fall. 4. Vice-Captain’s Duties: Selector; Acting Field Captain when Captain is absent. II. Selections A. Selections shall he made each week, before the upcoming game and after the last practice, by the captain (1 vote), the Vice—Captain (1 vote), the Coach(es) (1 vote). B. In the event that either Captain or the Coach(es) at not available the members of the team shall elect a Selector-At-Large to serve in their capacity as Selector. C. No Disqualified member can play on the A side if a Qualified member would otherwise be on the B side or any other side. A member is Disqualified if he: 1. Is absent for two of the three sessions immediately prior to the upcoming game. A session is any game or mandatory practice. OR 2. Has not paid the previous season’s dues although he was a member at the time. OR 3. Has not paid dues for the current season. D. The President shall ensure that the Selectors comply with the spirit and letter of this selections process. III. Recruiting, Training, Partying, Suggestions and Support: A. Every member is encouraged and expected to participate in these important activities and to assist the Officers when so requested. Success as a Club leads to success as a Team. IV. Fiscal Year A. The fiscal year of the Corporation shall commence on the 1st day of January and end on the 31st day of December of each year. V. Amendments A. Any Amendment of these Bylaws shall be ratified by two—thirds of the membership present at the Annual General Meeting. B. Once a motion has been voted upon, that decision is final. Any motion for a recount shall be denied by the highest ranking officer present. VI. Bartenders. A. The team can elect, via majority vote at any team function, a team bartender for road trips.
